1. Introduction

Welcome to Vetted Outsource (the “Platform”), operated by JSO Global Growth LTD, a company registered in Israel with registration number 517191664, located at Hayarkon 285, Tel Aviv, Israel (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the Vetted Outsource website (https://vettedoutsource.com/) and the services provided through it, including any content or functionality offered. By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree, please do not access or use the Platform.

These Terms are governed by and construed in accordance with the laws of Israel, and any disputes arising under or related to these Terms shall be resolved exclusively in the courts of Tel Aviv, Israel. You agree to waive any right to participate in a class action or collective lawsuit against us.

2. Service Description

Vetted Outsource provides a free matchmaking service that connects businesses with vetted offshore software development companies in regions such as Eastern Europe and Latin America (“Services”). We use a questionnaire and proprietary tools to match users with suitable development partners based on project goals, timeline, tech stack, and other requirements.

The Services are provided to users free of charge. We may earn referral commissions from development companies matched through the Platform, but these commissions do not affect the cost to users, which remains free. We are committed to maintaining objectivity in our matchmaking process, and any commissions do not influence the suitability of matches provided.

3. User Eligibility

To use the Platform, you must:

  • Be at least 18 years of age.
  • Represent a business entity (individuals acting for personal purposes are not eligible).
  • Provide accurate and complete information during the matchmaking process.

We reserve the right to refuse service to any user who does not meet these eligibility criteria or violates these Terms.

4. User Obligations and Content Standards

When using the Platform, you agree to:

  • Provide accurate, current, and complete information in the matchmaking questionnaire and other submissions.
  • Refrain from misusing the Platform, including submitting false or misleading project details, spamming, or engaging in any unlawful or harmful activity.
  • Comply with all applicable federal, state, local, and international laws and regulations.

Any information you submit (e.g., questionnaire responses, project details) must comply with the following content standards:

  • Must not contain defamatory, obscene, abusive, offensive, or hateful material.
  • Must not promote illegal activity or violate the legal rights of others (e.g., privacy, intellectual property).
  • Must not impersonate any person or misrepresent your identity or affiliation.
  • Must not cause annoyance, inconvenience, or harm to others.

We may monitor user activity to ensure compliance with these Terms and take action if violations occur.

5. Intellectual Property

All content on the Platform, including but not limited to text, graphics, algorithms, software, and the matchmaking process, is the exclusive property of JSO Global Growth LTD. All information submitted by users (e.g., questionnaire responses, project details) becomes the property of JSO Global Growth LTD upon submission, and you grant us a worldwide, perpetual, royalty-free license to use, store, and process such information for the purpose of providing the Services.

You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any Platform content without our express written permission, except:

  • Your device may temporarily store copies in RAM incidental to accessing the Platform.
  • Your browser may cache files for display enhancement purposes.
  • You may print one copy of a reasonable number of pages for your own non-commercial use, not for further reproduction or distribution.
  • Any unauthorized use of Platform content may violate copyright, trademark, or other laws.

6. Copyright Infringement

If you believe any content on the Platform violates your copyright, please send a notice to contact@vettedoutsource.com with supporting documentation, including a description of the copyrighted work and the allegedly infringing content. We may remove or disable access to such content and, at our discretion, terminate the accounts of repeat infringers.

7. Termination

You may stop using the Platform or withdraw a match request at any time without notice, as the Services are provided free of charge and in real-time.

We reserve the right to suspend or terminate your access to the Platform at our sole discretion, with or without notice, for reasons including but not limited to:

  • Providing inaccurate, false, or misleading information.
  • Engaging in spamming, abuse, or misuse of the Platform.
  • Violating any provision of these Terms, including the content standards.

Upon termination, your right to access the Platform will cease immediately, but these Terms will continue to apply to any prior use.

8. Limitation of Liability

To the fullest extent permitted by law, JSO Global Growth LTD shall not be liable for any damages, whether direct, indirect, incidental, consequential, or punitive, arising from or related to your use of the Platform or the Services. This includes, but is not limited to, any issues, losses, or damages resulting from:

  • The performance, quality, or actions of development companies matched through the Platform.
  • Errors, delays, or interruptions in the Services.
  • Unauthorized access to or use of your data.

We act solely as a matchmaking facilitator and take no responsibility for the services, performance, or conduct of the development companies matched through the Platform. In no event shall our total liability to you exceed USD $0 (zero dollars) or the minimum amount required by applicable law.

9. Disclaimer of Warranties

Your use of the Platform, its content, and any Services is at your own risk. The Platform and Services are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Neither JSO Global Growth LTD nor any person associated with us makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Platform. Without limiting the foregoing, we do not warrant that:

  • The Platform or Services will be accurate, reliable, error-free, or uninterrupted.
  • Defects will be corrected.
  • The Platform or its servers are free of viruses or other harmful components.
  • The Platform or Services will meet your needs or expectations.

We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, non-infringement, and fitness for a particular purpose. These disclaimers do not affect any warranties that cannot be excluded under Israeli law.

10. Reliance on Information Posted

The information presented on or through the Platform, including details about development companies, is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other user of the Platform.

11. Payment Terms

The matchmaking Services provided by Vetted Outsource are free of charge to users. We may receive referral commissions from development companies matched through the Platform, but these commissions do not impact users and do not result in any costs to you.

12. Third-Party Links and Services

The Platform may facilitate connections with third-party development companies or link to external websites. We are not responsible for the content, services, or performance of any third parties, including matched development companies. You engage with such third parties at your own risk, and we encourage you to review their terms, policies, and contracts before proceeding. We disclaim any liability for any loss or damage arising from your use of third-party websites or services.

13. Linking to the Platform

You may link to our homepage (https://vettedoutsource.com/) provided you do so in a way that is fair, legal, and does not damage our reputation or suggest any form of association, approval, or endorsement by us without our express written consent. You must not:

  • Establish a link from a website you do not own.
  • Cause the Platform to be displayed via framing, deep linking, or in-line linking.
  • Link in a way that violates these Terms or applicable laws.

We reserve the right to withdraw linking permission without notice.

14. Changes to Terms

We may update these Terms from time to time at our sole discretion. If we make material changes, we will notify you via the Platform or by email (if provided). Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms.

15. Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to events beyond our reasonable control, including but not limited to natural disasters, cyberattacks, government actions, or internet outages.

16. Indemnification

You agree to indemnify, defend, and hold harmless JSO Global Growth LTD, its affiliates, officers, and employees from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from your violation of these Terms or your use of the Platform, including your submitted data or interactions with third-party development companies.

17. Miscellaneous

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and JSO Global Growth LTD regarding the Platform and supersede any prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms does not waive our right to do so later.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights at our discretion.
